The Company was incorporated on March 30, 1998 pursuant to the Ontario Business Corporations Act under the name LearningWell Incorporated. On January 24, 2000, LearningWell Incorporated changed its name to impatica.com inc. to reflect an expanded focus on e-commerce and online marketing, in addition to its original focus on the online learning market.

In December 1999, Impatica completed an offering under the US Federal and State securities laws provided by Regulation D, Rule 504 of the Securities and Exchange Commission.

The Board of Directors of Impatica Inc. is dedicated to building shareholder value by achieving our mission to be the leader in the development of tools for the creation and delivery of plug-in free, interactive rich streaming media. In parallel with building this business, we will use our best efforts to provide liquidity for our shareholders.
